1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and Replybase ("Replybase", "we", "us"). By creating an account, signing in with Google, or otherwise using the Replybase platform, widgets, APIs, and related services (the "Service"), you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
If you do not agree to these Terms, do not use the Service.
2. The Service
Replybase lets small businesses create an AI assistant trained on their own content (uploaded documents, FAQs, and pages) and embed it as a chat widget on their website. The assistant answers customer questions using the knowledge you provide and the business contact details you configure.
We may update, add, or remove features at any time. We will make reasonable efforts to notify you of material changes that affect how you use the Service.
3. Accounts and Google sign-in
You may create an account using email and password or by signing in with Google OAuth. When you sign in with Google, we request only the minimum scopes needed to authenticate you (basic profile and email). You are responsible for keeping your credentials secure and for activity under your account.
You must provide accurate information and promptly update it if it changes. You may not share accounts or use another person's account without permission.
4. Your content and knowledge
You retain ownership of the documents, text, and other materials you upload ("Your Content"). You grant Replybase a limited license to process, store, embed, and display Your Content solely to provide the Service to you.
You represent that you have the rights needed to upload Your Content and that it does not violate law or third-party rights. Do not upload illegal, harmful, or infringing material.
5. Acceptable use
You agree not to:
- Misuse the Service to spam, harass, or deceive visitors.
- Attempt to reverse engineer, overload, or disrupt the Service.
- Use the assistant to generate unlawful, harmful, or infringing content.
- Circumvent usage limits, security controls, or billing.
6. Trials, plans, and billing
We may offer free trials and paid plans. Trial terms (including length and limits) are described at signup. Paid plans renew according to the plan you choose until cancelled. Fees are non-refundable except where required by law or expressly stated.
You authorize us (and our payment processors) to charge the payment method you provide for applicable fees and taxes.
7. AI disclaimers
The assistant generates responses from Your Content and configured instructions. Outputs may be incomplete or incorrect. You are responsible for reviewing critical answers and for how you use the Service with your customers.
Replybase does not guarantee uninterrupted or error-free operation, or that every visitor question will be answered correctly.
8. Limitation of liability
To the fullest extent permitted by law, Replybase is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service.
Our aggregate liability for claims relating to the Service will not exceed the amounts you paid us in the twelve months before the claim.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk for the Service or others, or fail to pay fees when due.
Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership, disclaimers, and liability limits) will survive.
10. Governing law
These Terms are governed by applicable law of the jurisdiction in which Replybase operates, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue for disputes, except where consumer protections require otherwise.
